These Terms of Service (“Terms”) form an agreement between you and DOMERA LLC, a Michigan limited liability company (“Domera,” “we,” “us,” or “our”). They govern domera.app, the client dashboard, and our related video clipping, publishing, and support services (the “Service”).
By accepting these Terms when creating an account or purchasing a subscription, you agree to them. Our Privacy Policy explains how we handle personal information. If you do not agree, do not create an account, subscribe, or use the Service.
Subscriptions renew monthly until canceled. The First-Month Guarantee lets you request a refund of your first month’s subscription fee within 30 days after your initial subscription payment; it is a refund offer, not a free trial. Sections 6 and 7 explain charges, the guarantee, and cancellation.
1. The Service and eligibility
Domera turns authorized recordings of long videos and livestreams into short clips. Automated tools, including AI, help transcribe content and suggest moments. People working for Domera review and finish clips before they are scheduled or published to the accounts you connect.
We currently offer the Service to customers located in the United States. You must be at least 18 years old and able to enter a binding contract. If you use the Service for a business or another creator, you represent that you have authority to accept these Terms and give the required permissions for them. References to “you” include that business or creator, as applicable.
We consider your content preferences when selecting and editing clips. Unless we expressly agree otherwise in writing, we choose the moments, edits, captions, titles, and schedule. Review by our team is part of the Service; it is not a requirement for you to approve every clip before posting. Any additional consent or controls required by a publishing platform still apply.
Your plan purchases processing capacity measured in source-video hours. Clip estimates are estimates, unless an order expressly states a guaranteed deliverable. We do not promise a particular number of clips, daily posting without interruption, a turnaround time, or any number of views, followers, interactions, sales, or earnings. We remain responsible for any express commitments in your order and any rights that applicable law does not allow us to exclude.
2. Accounts and security
Provide accurate account and billing information and keep it current. Keep your login credentials secure, use available security controls, and do not share your account credentials. You are responsible for activity you authorize through your account and for taking reasonable steps to protect it. Notify support@domera.app promptly if you suspect unauthorized access. This provision does not make you responsible for losses caused by Domera’s own breach of its obligations.
The Service may require email verification or additional authentication. Google sign-in authenticates a Domera account; it does not by itself authorize YouTube publishing. You may need to connect a publishing account separately.
3. Source channels and publishing permission
You may submit videos, save source channels, and connect posting accounts only if you own them or have sufficient authority to use and manage them for the purposes of the Service.
Intake and delivery settings. In Settings > Posting you choose how new videos come in and what happens to finished clips. Intake is automatic by default; you can instead approve each video or accept manual uploads only. Finished clips are posted automatically by default; you can instead approve each post or choose download only. Each video follows the settings in effect when it is added, so a change applies to videos added afterward, and we record each change with its time.
When intake is automatic, you instruct us to monitor saved source channels and process eligible new recordings without a separate submission for each recording. When you approve each video, detected recordings wait for your approval, are not downloaded or processed until you approve them, and expire if not approved within 7 days; videos you decline or let expire do not count toward your hours. When intake is manual upload, only videos you upload or submit by link are processed. Approval of a source video authorizes its processing. Our team reviews every clip before it is delivered. When you approve each post, clips also wait for your approval before they are scheduled; when you choose download only, clips are delivered to your dashboard to download and we do not post them. Changing a setting does not by itself stop work or posts already underway, except that if you choose download only and have no connected posting account, clips still waiting or scheduled to post are cancelled and delivered to you as downloads, and we tell you.
By connecting a posting account and authorizing publishing, you permit Domera and its publishing providers to upload, schedule, and publish clips and related metadata to that account, obtain available connection and performance information, and cancel or remove posts made through the Service where supported. Your authorization includes public publication where that is the visibility you have authorized through the applicable platform flow. We will obtain additional permissions when required by a platform.
You can disconnect an account in the dashboard or revoke access in the platform’s settings. Disconnection withdraws publishing permission through that connection. It does not cancel your subscription or remove existing posts. If a post is already in transmission, you may need to remove it on the platform. Contact us promptly if you need help stopping a scheduled post. A posting account may be connected to only one Domera customer account at a time. Contact us about a legitimate ownership or management transfer.
Platforms have their own rules, permission limits, account requirements, and content decisions. You must follow the terms and policies applicable to your use. Publishing to YouTube occurs through YouTube API Services; by using those features, you agree to the YouTube Terms of Service. Third-party outages, API changes, moderation, copyright claims, and account restrictions may delay, prevent, or remove posts. Domera is not responsible for a platform’s independent decisions, subject to our own obligations under these Terms and applicable law.
4. Content rights and the license you grant
Your material. “Your Content” includes videos, audio, images, logos, text, and other material that you submit or authorize us to access from your channels. You retain your rights in Your Content. You do not acquire rights in material owned by someone else merely by submitting it.
Finished clips. As between you and Domera, you retain your rights in Your Content as incorporated into finished clips. To the extent Domera owns transferable rights in the original editing work created specifically for your finished clips, Domera assigns those rights to you upon payment of the applicable fees. Domera retains its pre-existing materials, software, templates, styles, tools, and general know-how. To the extent those materials are incorporated into a finished clip, you receive a perpetual, worldwide, nonexclusive, royalty-free license to use them as part of that clip. Third-party materials remain subject to their owners’ rights. We cannot guarantee that every AI-assisted element is copyrightable or exclusive to you. If the first-month fee is refunded under the guarantee, clips published during that period remain licensed to you for continued use on the accounts where they were posted.
Permission to operate the Service. You grant Domera a worldwide, nonexclusive, royalty-free license to access, download where permitted, copy, store, transcribe, analyze, crop, edit, caption, render, distribute, display, and publish Your Content and resulting clips as needed to provide, secure, and support the Service for you and to evaluate and improve the Service, without using Your Content to train general-purpose AI models. This includes processing by personnel and providers working for us and publishing through the accounts you authorize. It does not authorize publication to unrelated accounts or use of Your Content in Domera’s own marketing without your separate permission.
This license lasts while we provide the Service to you and for the limited period needed to wind down authorized work and handle retention, legal, security, and dispute obligations described in the Privacy Policy. After your subscription ends, it does not authorize new promotional use or new publishing on your behalf. Existing posts may remain on your platform accounts, and the platform’s license to them is governed by its terms.
Rights and permissions you must have. You represent that you have all rights, notices, consents, and permissions needed for this processing and publication, including for music, gameplay, third-party footage, artwork, trademarks, voices, and people appearing or mentioned in Your Content. This includes any required parental or guardian permissions. A license to use music or other material on one platform may not permit downloading, editing, or posting it elsewhere. Do not submit content if you lack the required permission.
You are responsible for identifying content that should not be processed or made public and for telling us about applicable sponsorship, advertising, or other disclosure requirements before publication. Do not submit private credentials, confidential information you are not authorized to disclose, or material that requires processing restrictions we have not agreed to support. Tell us promptly if your authority or a necessary right ends.
5. Preferences and removal requests
You can request changes to your content preferences through the dashboard. Some requests require team review and apply after they have been accepted and implemented. A preference request does not automatically withdraw or change clips already being processed, scheduled, or published. For a particular clip that must be stopped or removed, submit a takedown request or contact support@domera.app.
Use Report on a video or clip to send feedback or a takedown request. A takedown request marks the selected clips to prevent new scheduling and initiates cancellation of scheduled posts. Cancellation can fail or arrive after a platform has begun publishing. We will address those cases and assist with removal of live posts where we have the ability to do so. You can also remove posts directly on the platform, which may be the fastest way to address an urgent issue.
Removal from a platform does not necessarily erase copies previously downloaded, reposted, or independently retained by others. A takedown request is also different from requesting deletion of your account or personal information. The Privacy Policy explains those requests.
If you believe content processed through the Service infringes your rights, email support@domera.app with your contact information, the work or right involved, the specific content or links, and an explanation of the issue and your authority to complain. We may investigate, stop processing, or remove affected material and may restrict repeat infringement. We may request further information or follow additional procedures required by law.
6. Plans and billing
Monthly renewal. Subscriptions are billed in U.S. dollars monthly in advance through Stripe and automatically renew each billing period until canceled. Before you purchase, checkout identifies the recurring price and plan. By subscribing and authorizing recurring billing, you authorize us to charge your selected payment method for each renewal and for extra hours you authorize. A subscription begins when the purchase is completed, even if you have not yet connected a posting account or received a clip.
Source hours. Each plan includes a stated number of source-video hours per billing period. Usage is based on the duration of videos processed, not the length or number of clips produced. Hours are allocated to the billing period in which processing starts, with recorded usage rounded to the nearest one-hundredth of an hour. We may correct an estimated duration after measuring the source. Unused hours do not roll over. If a processing run fails, its recorded hours are released; a later retry counts when processing starts again.
Extra hours. If you enable extra hours, you authorize additional processing at the rate shown for your plan, up to your stated extra-hours spending limit for the billing period. Authorized charges are added to a subsequent invoice, including a final invoice if applicable. If extra hours are off or the next video would exceed the applicable allowance, new work waits for available capacity or a plan change. Work already underway may finish. Turning extra hours off does not cancel charges for extra processing you previously authorized. We will not charge more than the authorized spending limit for the period.
Plan changes. An upgrade takes effect after the payment confirmation shown in the upgrade flow, with any prorated charge disclosed before you confirm. A downgrade ordinarily starts on the next billing date shown in the dashboard. Plan changes do not erase charges already incurred. A custom plan or separately signed order may set different limits or deliverables; we will disclose its price and billing terms before acceptance.
Taxes and payment failures. Applicable taxes are added where required unless the stated price includes them. You are responsible for valid charges and applicable taxes on your purchase. We may retry a failed payment, request an updated payment method, or suspend processing or publishing while payment is unresolved. Continued nonpayment may result in termination. We do not guarantee that work stops immediately when a payment fails.
Price changes. We will give at least 30 days’ advance notice of an increase to your recurring subscription price. The increase will apply only to a future renewal after the notice period and after any additional notice or consent required by law. You can cancel before the increase takes effect. Changes to your authorized extra-hour rate or spending limit will be disclosed before new processing is charged under the changed terms.
Contact support@domera.app promptly about a billing error. This request does not shorten any dispute period or other right provided by law or your payment provider.
7. First-Month Guarantee and cancellation
First-Month Guarantee. If you are not satisfied with the Service, you may request a refund of the subscription fee you actually paid for your first billing month within 30 days after your initial subscription payment. After those 30 days, the guarantee is no longer available, regardless of whether a clip has been published or the reason no clip has been published. This is a refund guarantee, not a free trial; monthly billing continues until canceled.
The first-month guarantee applies only to subscriptions that use automatic posting continuously for the first 30 days after the initial payment. Changing clip delivery to approval or download-only during that period ends guarantee eligibility permanently.
Separately from the guarantee, if your second billing period renews before your first clip is delivered (posted to your account or, if you chose download only, made available to download) and the delay was caused by Domera, such as our processing delays, system failures, or failures of providers working for us, we will refund that renewal on request. If the delay was caused by circumstances within your control, the renewal is charged as normal and is not refundable. Examples include not connecting a posting account, revoking or disconnecting access, providing no eligible source videos or uploading none while manual upload is on, skipping or not approving detected videos or finished clips, reaching your plan’s hours with extra hours turned off, unresolved payment issues, or restrictions a platform places on your account. We will tell you which applies if you request a refund.
The guarantee covers the first month’s subscription fee and applicable taxes on that fee. It does not cover extra-hour charges or later subscription periods, except for the refund of a Domera-caused renewal described above, where required by law, or where expressly agreed by Domera. A refund request does not need to prove that a particular view count or other performance target was missed.
Eligibility. The guarantee is available once per creator. It is not renewed by creating another account, changing the account email, or using a different representative. A person, connected posting account, or payment method that has already received a guarantee refund is not eligible for another guarantee refund. The guarantee is also unavailable for your subscription if the payment card (identified by the payment provider’s card fingerprint), your account email (treating addresses that reach the same mailbox as the same, such as ones that differ only by a “+” suffix or, for Gmail, by dots), your Google sign-in, a channel handle you saved, or any posting account connected to your subscription matches a Domera account that previously used the guarantee or had a subscription, even if your other details are new. Billing continues; only the guarantee is unavailable. When you save a handle another Domera account has used, the dashboard tells you before you continue. If a legitimate account transfer or shared business payment method creates an incorrect match, contact us so a person can review it. We may deny a request based on reasonable evidence of abuse, but these conditions do not restrict any refund rights that cannot lawfully be excluded.
Requesting a refund. Submit a billing support request in the dashboard or email support@domera.app from your account email. Identify the account and say that you are requesting the First-Month Guarantee. Approved refunds go to the original payment method; payment-provider and bank processing times vary. If you also want to cancel, say so in the request or use the cancellation control. We will confirm the refund and subscription status.
Canceling renewal. You can cancel at any time through Settings > Billing > Manage subscription > Cancel subscription. Complete the confirmation step. The dashboard shows when the plan will end. You can also email support@domera.app if you need help canceling or cannot access your account. We will honor a clear cancellation request without requiring you to give a reason or accept an alternative plan.
Cancellation stops future subscription renewals and ordinarily takes effect at the end of the current paid billing period. You may undo a scheduled cancellation before that period ends. Authorized unpaid charges already incurred, including extra hours, remain payable and may be invoiced afterward. Except for the guarantee, the refund of a Domera-caused renewal described in this section, a refund required by law, or a refund expressly provided in these Terms, paid subscription periods are nonrefundable and there is no credit for unused hours or partial periods.
When the subscription ends, we stop starting new processing and stop future publishing, including canceling outstanding scheduled posts through our publishing providers. A post already in transmission may still require removal on the platform. Existing published posts remain unless you or the platform remove them or we arrange removal with you. Canceling a subscription or disconnecting a platform does not itself delete your Domera account or its records. Download clips you need while they are available; the Service is not a permanent archive.
8. Acceptable use
Do not use the Service to:
- infringe intellectual property, privacy, publicity, confidentiality, or other rights;
- submit illegal content, child sexual exploitation material, nonconsensual intimate imagery, or material that unlawfully threatens, harasses, or promotes violence or hatred;
- impersonate others, distribute spam, commit fraud, or publish materially deceptive content;
- violate applicable law or a platform’s rules, including disclosure requirements for sponsored or commercial content;
- evade billing, plan limits, account restrictions, or guarantee eligibility through duplicate accounts or other misrepresentations;
- introduce malicious code, disrupt the Service, bypass access controls, or access another person’s information without authorization; or
- copy or resell the Service, or reverse engineer it except where applicable law permits that activity despite this restriction.
Use the help assistant for support about Domera and your account. Attempts to obtain another customer’s information or bypass its access restrictions are prohibited. This does not prevent good-faith questions about privacy, security, or how the Service works. We may decline, pause, or remove content reasonably believed to violate these Terms.
9. Suspension and termination
You may request account closure by emailing support@domera.app. If your request clearly asks to end the subscription as well, we will treat it as a cancellation request. The Privacy Policy explains deletion and lawful retention.
We may suspend or end access for a material breach, nonpayment, fraud, security risk, infringement, or a legal requirement. Where reasonable, we will give notice and an opportunity to resolve the problem. We may act immediately when necessary to prevent harm, comply with law, or protect the Service. We may also discontinue the Service with reasonable notice where practicable.
If we end your paid subscription without cause or permanently discontinue the paid Service, we will refund the unused portion of the prepaid subscription period. We may retain valid charges for work already supplied and other amounts lawfully owed. Nothing in these Terms limits a refund or remedy required by law.
Terms that by their nature should continue after termination remain effective, including provisions on ownership, limited retention permissions, amounts owed, liability, indemnity, disputes, and general terms.
10. Service limitations and disclaimers
AI suggestions, transcripts, framing, captions, and human edits can contain mistakes or omit context. Tell us promptly about errors or content that should not be public. We do not provide legal, financial, medical, or other professional advice through clips or the help assistant. Assistant replies do not modify these Terms or authorize refunds or account changes.
Except for express commitments in these Terms or an applicable order, and to the fullest extent permitted by law, the Service is provided “as is” and “as available.” Domera disclaims implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. We do not warrant uninterrupted or error-free operation or that any platform will accept, distribute, monetize, or retain a clip. These disclaimers do not exclude rights or warranties that applicable law does not allow us to exclude.
11. Limitation of liability
To the fullest extent permitted by law, Domera and its members, employees, contractors, and service providers are not liable for indirect, incidental, special, consequential, or punitive damages arising from the Service or these Terms, including lost profits, revenue, followers, data, or goodwill, even if advised of the possibility.
To the fullest extent permitted by law, Domera’s total liability for claims arising from the Service or these Terms is limited to the greater of $100 or the amount you paid Domera in the 12 months before the event giving rise to the claim. This limit applies across related claims rather than separately to each claim.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that cannot lawfully be excluded or limited. They do not reduce a refund expressly owed under these Terms. Some jurisdictions do not permit particular exclusions or limits; the provisions apply only to the extent permitted there.
12. Responsibility for third party claims
To the extent permitted by law, you will defend and indemnify Domera and its members and employees against third-party claims and resulting damages, settlements, and reasonable legal costs arising from your breach of the content-rights promises in section 4, your unlawful use of the Service, or your material breach of these Terms. This obligation does not apply to the extent a claim results from Domera’s own breach, negligence, or willful misconduct.
We will notify you promptly of a claim, provide reasonable cooperation at your expense, and allow you to control the defense with qualified counsel. A delay in notice excuses your obligation only to the extent it materially harms the defense. You may not settle a claim in a way that admits fault by Domera or imposes a nonmonetary obligation on Domera without our written consent, which we will not unreasonably withhold. Domera may participate through its own counsel at its own expense.
13. Governing law and disputes
Michigan law governs these Terms, without applying conflict-of-laws rules, except that mandatory protections available under applicable law remain in effect. Contact support@domera.app to try to resolve a dispute informally. This request does not require you to delay an urgent court filing, miss a legal deadline, or give up a statutory right.
Unless applicable law gives you a nonwaivable right to another forum, disputes will be decided in state or federal courts located in Michigan, and you and Domera consent to their jurisdiction. Either party may bring an eligible individual claim in small claims court. These Terms do not impose mandatory arbitration or a class-action waiver.
14. Changes and general terms
For material changes to these Terms, we will give at least 30 days’ advance notice by email or a prominent dashboard notice. Changes required for legal or security reasons may take effect sooner where permitted by law. Changes do not apply retroactively to an existing dispute. We will obtain new consent where required, including for changes to recurring billing or platform permissions. If you do not accept a material change, you can cancel before it takes effect. Continued use after the effective date constitutes acceptance only to the extent permitted by law.
These Terms and any order or separate agreement you expressly accept describe our agreement concerning the Service. The Privacy Policy explains our personal-information practices; accepting these Terms does not waive privacy rights or replace a consent required by law. A separately signed agreement controls over a conflicting provision of these Terms to the extent of that conflict.
If a provision is unenforceable, the rest remains effective to the extent the agreement can operate as intended. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent, except as permitted by law. Domera may transfer it in connection with a merger, reorganization, or business sale, subject to applicable law and the Privacy Policy. Events beyond reasonable control may excuse delay in performance, but do not eliminate refund or other obligations that cannot lawfully be excused.
You agree to receive account, billing, and legal notices electronically at your account email or through the dashboard, except where law requires another form. Keep your email current and retain copies of notices. Ideas you voluntarily provide about improving the Service may be used without compensation, subject to the Privacy Policy and your continuing rights in Your Content.
